# Terms of Use *Last updated: 22 April 2026* By visiting, accessing or using **Probly** and associated mobile applications (the "**Probly Platform**"), APIs, and any related products, services, or features (collectively, the "**Services**") provided by **WisdomBayes Inc.** ("**Probly**", "**we**", "**us**"), you ("**User**", "**you**") agree that you have read, understood, accepted and consented to these Terms of Use. {% hint style="warning" %} **Please review the Terms carefully.** By accessing, interacting with or using the Probly Platform (including by linking your Wallet), you agree to be bound by these Terms, including the **binding arbitration agreement** and **class action waiver** below. If you do not agree to all of the Terms, you are not authorized to interact with, access or use any Interface or Feature. {% endhint %} ## 1. Eligibility You represent and warrant that you are at least **18 years of age** and legally capable of forming a binding contract under applicable laws. If you are accessing or using the Probly Platform on behalf of a legal entity, you represent and warrant that such legal entity is duly organized and that you are duly authorized to act on its behalf. You further represent that: * You have not previously been suspended or removed from using the Probly Platform * You do not have an existing Probly account * You are **not subject to any economic or trade sanctions** (including the OFAC Specially Designated Nationals List or the UN Security Council Sanctions List) * Your use of the Services does not violate any applicable laws ## 2. Restricted Jurisdictions {% hint style="danger" %} Use of the Probly Platform or Technology Features is **not permitted** by persons or entities who reside in, are located in, are incorporated in, have a registered office in, or have their principal place of business in any Restricted Jurisdiction. {% endhint %} Restricted Jurisdictions currently include: * Jurisdictions subject to comprehensive U.S. sanctions — **Iran, Syria, Cuba, North Korea**, and Russian-controlled regions of Ukraine (**Crimea, Donetsk, Luhansk**) * **United States**, **United Kingdom**, **Canada**, **France**, **Netherlands**, **Poland**, **Portugal**, **Hungary**, **Argentina**, **Thailand**, **Singapore** * **People's Republic of China** (including the **Hong Kong Special Administrative Region**) **There are no exceptions.** Use of a VPN or any similar tool to attempt to circumvent these restrictions is strictly prohibited and may result in your Wallet being placed in close-only mode. ## 3. Description of Services Probly provides a prediction market platform for **event-based contracts** ("Contracts"). You may participate in Prediction Markets by predicting outcomes of future events using cryptocurrency. * All Prediction Markets must be based on **objectively verifiable events** that can be determined through reliable third-party **Data Sources** * Probly determines which Data Sources are used to verify outcomes, and will clearly indicate the designated Data Source(s) for each market * Once an outcome is determined based on the designated Data Source(s), it is **final and binding** * Probly has sole discretion over which events may be the subject of Prediction Markets {% hint style="info" %} **Probly is not your broker, intermediary, agent, or advisor.** No information on the Platform constitutes investment, financial, or trading advice. Probly does not effectuate, facilitate, or control any transactions initiated via the Platform. {% endhint %} ## 4. Your Account and Wallet You must sign up for a Probly account at and connect a wallet before using the Services. * You are **solely responsible** for keeping your credentials, private keys, and passwords secure * Probly cannot access your private key, password, or any cryptoassets in your wallet * Probly cannot reverse any transactions you initiate * All transactions broadcast to the blockchain may require **non-refundable network fees** which are borne entirely by you ## 5. Prohibited Conduct You agree **not** to: * Engage in money laundering, terrorism financing, fraud, or any activity violating applicable laws * **Manipulate markets** — including front-running, wash trading, spoofing, fictitious or pre-arranged transactions, cornering, or any other abusive trading * Circumvent content filtering, security measures, or geographical restrictions (including via VPN) * Provide false, inaccurate, or misleading information, impersonate others, or engage in spam or abusive behavior * Use bots, crawlers, scraping tools, or any manual process to copy or extract data without written consent * Reverse engineer, disassemble, or decompile the Platform, or sublicense, sell, or otherwise distribute it * Introduce viruses, malware, or conduct denial-of-service attacks * Attempt unauthorized access to the Platform's servers or infrastructure * Infringe Probly's or any third party's intellectual property rights * **Transfer rights under these Terms** without our consent Violation may result in termination of access, being placed in close-only mode, and/or legal action. ## 6. Risk Disclosure {% hint style="danger" %} **Prediction markets are inherently risky.** By using the Platform to trade and enter into Contracts, **you can lose up to the entire amount of the cryptoassets supplied**. Transactions are **irreversible**, **final**, and **there are no refunds**. {% endhint %} By using the Services, you acknowledge the following risks: * **Financial risk** — You may lose the full amount of any position * **Technology risk** — Smart contract vulnerabilities, blockchain failures, forking events, hacks, phishing, social engineering attacks * **Regulatory risk** — The regulatory regime governing blockchain and digital assets is uncertain and may change * **Operational risk** — Hardware, software, or Internet failures; third-party service disruptions * **Data risk** — Third-party data sources may be delayed, incomplete, or inaccurate * **Wallet risk** — Loss of private keys means permanent loss of assets; Probly cannot recover them ## 7. Intellectual Property Probly or its licensors own all right, title, and interest in the Probly Platform, any other Interface, and Features, including all related content, technology, trademarks, and intellectual property rights. Subject to these Terms, Probly grants you a **personal, limited, revocable, non-exclusive, non-sublicensable, non-transferable license** to use the Platform. You may not copy, modify, distribute, or create derivative works except as expressly permitted. By providing any feedback or content, you grant Probly a royalty-free, worldwide, perpetual, irrevocable license to use, copy, modify, and display such content for business purposes. ## 8. Limitation of Liability {% hint style="warning" %} To the maximum extent permitted by law, **Probly's total aggregate liability** for all claims arising from or in connection with the Services is limited to a maximum of **$100 USD**. {% endhint %} The Services are provided **"as is" and "as available"**. Probly expressly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Probly is not liable for: * Incidental, indirect, special, punitive, or consequential damages * Loss of data, revenue, profits, or business benefits * Third-party actions, technical malfunctions, blockchain failures, hacks, or force majeure events * Any loss from your failure to comply with these Terms You acknowledge and agree that neither Probly nor its affiliates are aware of any special circumstances pertaining to you, and that **damages are an adequate remedy**. You shall not be entitled to any other claims or remedies at law or in equity, including but not limited to **any claim in rem, injunction, and/or specific performance**. ## 9. Indemnification You agree to indemnify and hold harmless Probly and its affiliates (including agents, shareholders, directors, officers, and employees) from any claims, losses, liabilities, damages, penalties, and expenses arising from: * Your use or conduct of the Services * Your non-compliance with these Terms * Your breach of these Terms * Your violation of applicable laws or any rights of third parties * Any false or misleading information you provide ## 10. Termination We may **suspend or terminate** your access to the Services at any time, for any reason, including violations of these Terms, without notice or liability. Sections that by their nature survive termination (e.g., limitation of liability, indemnification, dispute resolution) remain in effect after termination. ## 11. Governing Law & Dispute Resolution These Terms are governed by the **laws of Panama**, without regard to conflict of laws principles. ### Good-Faith Negotiation Before commencing any legal proceeding, you and Probly agree to attempt to resolve any Claim through good-faith negotiation: 1. The aggrieved party delivers a written **Initial Notice** specifying the dispute 2. The other party has **20 days** to respond 3. The parties shall meet and confer in good faith within **45 days** of the Initial Notice 4. If unresolved within **90 days**, either party may submit to arbitration ### Arbitration Any dispute arising out of or relating to these Terms or the Services shall be finally resolved by **arbitration administered by the HKIAC** (Hong Kong International Arbitration Centre) under the HKIAC Administered Arbitration Rules. * Seat of arbitration: **Hong Kong** * Number of arbitrators: **three (3)** — Probly shall appoint one (1), you shall appoint one (1), and the third shall be appointed by the **Chairman of the HKIAC** * Language: **English** * Law governing the arbitration clause: **Hong Kong** {% hint style="warning" %} **CLASS ACTION WAIVER.** By agreeing to these Terms, you waive the right to trial by jury and the right to participate in a class action or class arbitration. All proceedings will be brought only in your individual capacity. {% endhint %} ## 12. Changes to These Terms We reserve the right to modify these Terms at any time. Modified Terms will be posted on the Platform with an updated "Last updated" date and will become effective upon posting. It is your responsibility to check the Terms regularly. Your continued use of the Services after any modification constitutes your explicit agreement to the updated Terms. ## 13. Miscellaneous * **Entire agreement.** These Terms constitute the entire agreement between you and Probly regarding the Services. * **Severability.** If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. * **Assignment.** You may not assign or transfer any rights under these Terms without our prior written consent. Probly may assign its rights and obligations without notice. * **No waiver.** The failure of Probly to enforce any provision does not waive the right to enforce it later. ## 14.
